Terms of Service

1. Acceptance of Terms

By accessing and using the OnUI platform ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

OnUI provides a platform that delivers AI-powered features to web applications, including AI chat assistants, page generation, and report building. Customers may integrate these features into their own applications using our SDK, or use them directly through the OnUI dashboard.

The Service requires customers to provide their own third-party AI provider API keys (e.g., OpenAI, Anthropic, Google). OnUI does not provide AI model access directly.

3. User Accounts

To access certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and accept all risks of unauthorized access
  • Immediately notify us of any unauthorized use of your account

4. API Keys and Credentials

You provide your own third-party AI provider API keys to use AI features through the Service. You are responsible for:

  • Securely storing and managing their API keys
  • All activities that occur using their API keys
  • Immediately notifying us if they believe their API keys have been compromised
  • Complying with third-party provider terms (OpenAI, Anthropic, Google, etc.)
  • All costs incurred through your use of third-party AI providers

Violation of a third-party AI provider's terms of service or usage policies through the Service may result in suspension or termination of your OnUI account.

5. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any laws in your jurisdiction
  • Infringe upon or violate our intellectual property rights or the rights of others
  • Transmit any viruses, malware, or other malicious code
  • Attempt to gain unauthorized access to any part of the Service
  • Use the Service to harass, abuse, or harm another person

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We collect and process data as described in the Privacy Policy. You retain ownership of any code or data you provide to the Service.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by OnUI and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain all rights to the data you provide to the Service. Any content generated through your use of AI features (including reports, pages, and chat outputs) is owned by you. OnUI claims no ownership over your input data or AI-generated output.

8. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease and your data will be deleted.

If you wish to delete your account voluntarily, you may do so at any time. You will have the opportunity to export your data before deletion. See our Privacy Policy for details on data retention and deletion timelines.

9. Limitation of Liability

In no event shall OnUI, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

10. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied.

11. AI-Generated Content Disclaimer

The Service uses third-party artificial intelligence models to generate content, including chat responses, reports, and pages. AI-generated output may be inaccurate, incomplete, or inappropriate.

You acknowledge and agree that:

  • AI-generated content is provided for informational purposes and should not be relied upon as the sole basis for any decision
  • You are responsible for reviewing, verifying, and validating all AI-generated output before use
  • OnUI does not guarantee the accuracy, reliability, or completeness of any AI-generated content
  • OnUI is not liable for any damages, losses, or consequences resulting from reliance on AI-generated output
  • AI model behavior is determined by third-party providers and is outside of OnUI's control

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
